LIME SUPPLEMENTAL TERMS AND CONDITIONS

LIMEPASS & LIMEPRIME PRODUCTS

In connection with the Services, you may be presented with the opportunity to subscribe to, purchase, activate, access, or otherwise use a LimePass or a LimePrime product offering (each a “Product”, or collectively the “Products”), each of which is subject to the terms and conditions (the “Product Terms”), below. These Product Terms supplement the terms and conditions of Lime’s User Agreement, and supersede any conflicting terms in the User Agreement solely as to your use of the Products. Any undefined, capitalized terms will have the meaning set forth in the User Agreement. The LimePass and/or LimePrime product(s) are offered to you by the Lime entity that provides you with Services under your User Agreement. Please note, the availability and terms and conditions under which Lime may offer the LimePass and LimePrime products may vary by city, region and country, as reflected to you through the Lime App.

LimePass: Non-recurring Subscription Offer (Prepaid Minute Bundles)

a. Key Terms and Conditions

LimePass is a non-recurring subscription model that allows users to purchase one-time offers of bundled pre-paid ride minutes and other benefits (e.g., unlocks, rides, discounts, and/or additional minutes) in select markets (“One-time Offer”). When you buy a LimePass you agree to these Terms, as well as the specific terms reflected in the One-time Offer.

Each One-time Offer will include important details and terms, such as:

  • Where and when the benefits of a LimePass may be used,

  • A detail of the benefit(s) conferred by the LimePass (e.g., whether starts/unlocks are included in the LimePass and the total number of eligible starts/unlocks, minutes, and/or rides for each LimePass or the maximum duration of each eligible ride) (the “LimePass One-time Benefits”),

  • The cost and number of bundled minutes within the LimePass (“Rate”), and

  • The LimePass expiration date, which is the earlier of: a) You have exhausted the number of minutes purchased within the LimePass Bundle, or b) a date certain upon which any remaining unused Limepass minutes automatically expire per the Offer terms. Please note that unused benefits will not roll over or accumulate after the LimePass expires, and no refunds or credits will be issued for any unused minutes or other benefits.

Standard unlock fees, ride fees, and/or per minute fees apply after LimePass expires, as described above.

b. Riding Minutes

A LimePass may include a discounted bundle of minutes that you can use within the Term of the purchased LimePass (“Riding Minutes”). If the LimePass includes Riding Minutes, these apply to each eligible ride taken within the LimePass Term identified in the One-time Offer until all such minutes are consumed within the Term, or the LimePass expires, as described above. In accordance with Lime’s standard terms and conditions reflected in the User Agreement, partial Riding Minutes are rounded up to the nearest whole minute.

Auto-Reload: if you enable the auto-reload feature in the Wallet on your LimeApp for your LimePass, Lime will automatically reload, on your behalf as indicated by your opt-in to the auto-reload feature, your purchase of the same LimePass type should your existing LimePass expire, as described above, during a ride that has not yet ended. One or more new bundles will be applied retroactively to cover the full trip duration. Please note:

  • Auto-Reload does not trigger if your minutes expire unused, or if the bundle is fully used at the end of a ride. In these cases, you may choose whether to purchase a new LimePass.

  • Auto-Reload does not trigger if your ride is covered in full by refunded minutes.

  • You may disable the auto-reload feature at any time in the Wallet of the LimeApp. If your LimePass becomes unavailable to you, or you travel to a different market, the auto-reload feature will be automatically disabled and you will be notified. Lime will also notify you of any LimePass price increases before a new auto-reload purchase occurs.

  • If a payment failure prevents the purchase of a new LimePass through the auto-reload from completing during your ride, and you do not manually purchase a new LimePass before the ride ends, any remaining portion of the trip incurred after the LimePass expired will be charged at standard rates.

  • Auto-Reload purchases are subject to these Terms and the terms of your selected LimePass One-time Offer.

Group Ride: during a Group Ride, the “host” rider will cover the cost of each rider within the Group, and the minutes consumed, collectively, by the Group will be deducted from the host’s LimePass benefits. For example, if you host a group ride with one guest and you each ride for 10 minutes, a total of 20 minutes will be deducted from your LimePass. Please note that the auto-reload feature is not available should your LimePass expire mid- Group Ride.

Swapstation Minutes: In certain markets, Lime may offer Swapstation Minutes. If you have Swapstation Minutes in your Wallet, these will be treated independently from any LimePass or LimePrime product offering. Given the distinct terms and conditions associated with SwapStation Minutes, those minutes will be applied/consumed after the LimePass minutes have been consumed or the LimePass has expired.

2. LimePrime: Recurring Subscription Memberships LimePrime is a recurring, subscription-based monthly membership program that provides subscribers with access to a bundled package of riding benefits such as, e.g., free ride starts, vehicle reservations, scheduled vehicles, riding minutes, or discounted rides, as stated in your in-app or email offer (“LimePrime Subscription Offer”). When you subscribe to LimePrime you agree to be bound by these Terms, as well as the specific terms of the LimePrime Subscription Offer, which are hereby incorporated herein by reference.

Each LimePrime Subscription Offer will include important details and terms regarding the Offer, such as:

  • The benefit(s) conferred by the LimePrime membership including, e.g., the total number of free ride starts, the total number of included riding minutes, whether free reservations are included, and any third-party benefits conferred through the program) (“LimePrime Benefits”),

  • The LimePrime membership fee (“Fee”), and

  • The billing interval (“Billing Cycle”).

When you subscribe to a LimePrime membership, you agree to the LimePrimes Terms, as well as the specific terms reflected in the LimePrime Subscription Offer.

Standard ride start fees, ride fees, and/or per minute fees apply after all LimePrime Benefits are exhausted.

Group Ride: a host of a Group Ride may only use their LimePrime Benefits for guests if the Subscription Offer expressly allows it. In such case, during a Group Ride the LimePrime Benefits will be applied to both the host's and guests' rides.

a. Auto-Renewal & Billing Cycle

The Fee for LimePrime is stated in the Subscription Offer. You will be charged the Fee for your first Billing Cycle on the date of purchase, which activates your LimePrime membership for the term set forth in your Subscription Offer. Unless you cancel (through the Wallet in the Lime App), in accordance with the Cancellation terms below, you acknowledge and agree that you will be charged the Fee on the first day of the next Billing Cycle. Your LimePrime membership will automatically renew at the beginning of each Billing Cycle, and the Fee will automatically be charged to your selected payment method.

b. Cancellation

You may cancel your LimePrime at any time within the Lime App. To avoid being charged for the subsequent month’s subscription, you must cancel at least 1 day prior to the next billing cycle. To cancel your LimePrime subscription, go to the LimePrime section located within the Wallet page in the Lime App and cancel the subscription. If you cancel your LimePrime, you will still have access to your LimePrime Benefits until the end of the current Billing Cycle.

c. Free Trial

Certain LimePrime Subscription Offers may include a free trial (a “Free Trial”) that allows eligible users to access LimePrime Benefits without paying the applicable Fee for a limited period of time, as specified in the applicable offer (the “Free Trial Period”).

Your Free Trial begins when you affirmatively opt in to the Free Trial through the Lime App and continues for the duration stated in the applicable offer. Free Trials may be offered for varying lengths of time and may be available only to certain users, in certain locations, or for certain LimePrime Subscription Offers, as determined by Lime.

Unless you cancel your LimePrime subscription before the end of the Free Trial Period, your Free Trial will automatically convert to a paid LimePrime subscription at the end of the Free Trial Period, and you will be charged the applicable Fee for your first Billing Cycle.

By opting into a Free Trial, you expressly acknowledge and agree that:

  • your LimePrime subscription will automatically convert to a paid subscription at the end of the Free Trial Period unless cancelled in advance;

  • the applicable Fee, Billing Cycle, and subscription terms will be those stated in the applicable LimePrime Subscription Offer; and

  • the Fee will be charged to your most recently used, valid payment method on file, or another payment method associated with your account if the primary method fails.

You may cancel your LimePrime subscription at any time through the Lime App prior to the end of the Free Trial Period to avoid being charged. If you cancel before the end of the Free Trial Period, your access to LimePrime Benefits may terminate immediately.

You may only be eligible to use a Free Trial once, unless Lime expressly offers you an additional Free Trial. Current or former LimePrime subscribers may be ineligible for Free Trials, as determined by Lime and specified in the applicable offer. Lime reserves the right to modify or withdraw any Free Trial offer at any time prior to your acceptance, subject to applicable law.

3. General Terms Applicable to both LimePass and LimePrime (Applicable to Both One-Time and Subscription-Based Memberships)

3.1 Receipts

Once you purchase a Product, an invoice will appear in the 'History' tab of the app. If your account has an associated email and you've opted in for email receipts, a copy will also be sent to your inbox.

3.2 Usage & restrictions

The Products are only valid in the country where purchased, and the Products may not be available in all regions, or to all users. If you have any questions about this, please contact Lime customer service through the Lime App.

The Products are only valid on Lime-owned electric scooters and electric bicycles except in the event the Offer expressly excludes a vehicle type from the the scope of a particular Product.

Neither of the Products may be combined, stored, or transferred, and is not valid with Lime Access, or with other Lime promotion codes or other discounts.

Lime reserves the right to suspend or revoke a Product if a Lime account has been flagged for suspicious or fraudulent activity, or if a Lime account otherwise violates the Product Terms.

3.3 Refunds

Neither Product has any cash value ($0.0) and is non-transferable. The Products are ineligible for refunds or credit, whether used or not, unless set forth in these Product Terms or as required by applicable laws.

3.4 Changes and Updates

Lime may update these Product Terms at any time. Any material changes to these Product Terms will be communicated to you.

Subject to applicable law, when accessing or using the Lime Services through a Product, you consent to be bound by these Product Terms and the User Agreement, as amended at the time.

You are free to stop using Products and/or the Lime Services at any time.

3.5 Promotional Offers & Temporary Discounts

From time to time, we may offer supplemental Product benefits or other promotional discounts. The specific terms applicable to such supplemental benefits and promotions will be stated in the One-time Offer or Subscription Offer associated with the relevant Product. Lime reserves the right to withdraw or to modify any supplemental benefits and/or promotions at any time without prior notice and with no liability.

3.6 Right of Withdrawal

In certain jurisdictions, you have the statutory right to cancel your Product order within 14 days of its activation, without providing any reason. In such jurisdictions, any Product subscription can only be cancelled following its initial activation, and not upon each automatic renewal. To exercise the statutory right of cancellation, you must inform Lime of your decision to cancel your purchase before the 14-day period has expired. You may contact Lime at [email protected]. We will reimburse you no later than 14 days from the day on which we receive your cancellation notice. We will use the same means of payment as you used for the transaction, and you will not incur any fees for such reimbursement. If you used any part of the Product during the 14-day period, you may be required to pay an amount in proportion to the rides you took through the date Lime received your cancellation notice.
