Public GBFS Terms

These terms (“API Terms”) apply to the information and data (“Data”) made available by Neutron Holdings, Inc. dba Lime or its affiliate (collectively, “Lime”) through one or more application programming interfaces (“Lime APIs”). By accessing or using the Lime APIs or Data (together, the “API Products”), you are agreeing to these API Terms. You also agree that you have authority to agree to these API Terms, whether personally or for an entity if you are accessing the API Products on behalf of an entity (in which case, all references to “you” in these API Terms will also refer to that entity). If you don’t agree to these API Terms, you may not use or access the API Products.

In certain situations, you may have a separate, written agreement (“Additional Agreement”) with Lime governing your use of or access to the API Products (or a portion thereof). To the extent there is a conflict between these API Terms and such Additional Agreement, the terms and conditions of the Additional Agreement will control.

Lime may amend these API Terms from time to time. Amendments will be effective when Lime posts the updated API Terms. The updated API Terms supersede any previous versions. We recommend that you regularly review the API Terms because your continued access to or use of the API Products after such updates constitutes your agreement to the changes.

1. License.

Subject to the terms and conditions of these API Terms, Lime hereby grants to you a limited, non-exclusive, non-sublicensable, non-transferrable, non-assignable, royalty-free license to access and use the API Products solely for your internal, non-commercial business purposes. The foregoing license grant also includes your ability to display the availability of Lime’s electric scooters in your product or service only if and to the extent applicable local law or regulation specifically requires that Lime grants you such right.

2. Ownership.

Lime owns all right, title, and interest (and all related moral rights and intellectual property rights) in and to the API Products, including without limitation any data structures therein. No rights or licenses are granted except as expressly set forth in these API Terms. If you provide any feedback, suggestions, or other improvement ideas to Lime about the API Products, you hereby authorize Lime to use such information without any restriction by or obligation to you.

3. Restrictions and Requirements.

If applicable local law or regulation allows you to display Data in your product or service, you will attribute Lime as the source of the Data and will refresh the Data at least once every minute.

    You may not (and you may not permit or enable any third party to):

    1. copy, modify, decompile, disassemble, translate, distribute, publish, export, sell, rent, lease, license, resell, redistribute, commercialize, or make derivative works based on the API Products, except as expressly authorized by these API Terms;

    2. use the API Products for any unlawful purpose;

    3. attempt to gain unauthorized access to the API Products or their related systems or networks;

    4. aggregate Data with any third-party data except as specifically permitted by applicable local law or regulation;

    5. display Data in any manner that may be deemed to constitute personal data under applicable law;

    6. attempt to associate the Data with any individual or personal information of a person;

    7. remove any proprietary notices from the API Products (or any portion thereof);

    8. decompile, reverse engineer, disassemble, or derive the source code, underlying ideas, concepts or algorithms of the Lime API (except as and only to the extent the foregoing restrictions are expressly prohibited by applicable statutory law);

    9. use the API Products to create or augment any dataset or database;

    10. data mine or create bulk feeds of the Data; nor

    11. download, host, cache, retain, display, or otherwise store Data for more than ten (10) minutes.


    Your use of the API Products does not create or imply any endorsement, affiliation, sponsorship, or approval by Lime.

    1. General

    These API Terms (together with Additional Agreements, if any) constitute the entire agreement between you and Lime with respect to the API Products and supersedes all prior written and oral agreements between you and Lime regarding the API Products. You may not modify or amend these API Terms except through a signed, written agreement with Lime. If you fail to comply with these API Terms or if Lime has reason to believe you have tried to circumvent the limitations contained in the API Products, Lime may temporarily suspend or permanently block your access to the API Products without notice. In addition, Lime may terminate these API Terms at any time for any or no reason by providing written notice to you. All sections, except for Section 1, of these API Terms will survive any termination of the API Terms. If any provision of these API Terms is found to be illegal or unenforceable, the other provisions shall remain effective and enforceable to the greatest extent permitted by law. The failure of Lime to enforce, at any time or for any period of time, the provisions hereof, or the failure of Lime to exercise any right herein, shall not be construed as a waiver of such provision or right and shall in no way affect Lime’s right to enforce such provisions or exercise such right. These API Terms will be construed and governed according to the internal substantive and procedural laws of the State of California excluding choice of law principles, and you consent to the exclusive jurisdiction of the federal or state courts of San Francisco, California. Notwithstanding the foregoing, with respect to matters involving intellectual property and/or injunctive relief, either party may seek relief in any court of competent jurisdiction

        THE API PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. LIME HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS OF USE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LIME MAKES NO REPRESENTATION OR WARRANTY ABOUT THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE API PRODUCTS, OR THAT THE API PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU ACKNOWLEDGE THAT YOU ACCESS AND USE THE API PRODUCTS AT YOUR SOLE RISK.

        3. Limitation of Liability.

        TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LIME OR ANY OF ITS PROVIDERS OR REPRESENTATIVES (INCLUDING OFFICERS OR DIRECTORS) BE LIABLE TO YOU OR ANY THIRD PARTY UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND OTHERWISE, FOR ANY: (i) LOSS OF PRODUCTION, USE, BUSINESS, REVENUE OR PROFIT, OR DATA, OR (ii) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES, ARISING FROM YOUR ACCESS TO OR USE OF THE API PRODUCTS, EVEN IF LIME WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. IN NO EVENT WILL LIME’S AGGREGATE LIABILITY UNDER THESE API TERMS EXCEED ONE HUNDRED DOLLARS ($100).
